Welcome to the website of NexRack Systems (“NexRack,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website located at https://nexracksystems.com/ (the “Site”), as well as all related quotes, engineering consultation services, warehouse racking sales, and installation services provided by NexRack.
By accessing or using our Site, requesting a quote, or issuing a Purchase Order (PO) for our products and services, you (“Client,” “Customer,” or “you”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of our Site and services.
1. SCOPE OF SERVICES & QUOTATIONS
- Quotations: All price quotes, custom CAD space planning proposals, and system estimates provided by NexRack are valid for thirty (30) calendar days from the date of issuance, unless explicitly stated otherwise in writing. Prices are subject to revision after thirty days due to raw material (steel) cost fluctuations or shipping rate changes.
- Accuracy of Client Data: Quotations and structural designs are based entirely on the building dimensions, clear heights, concrete slab specifications, pallet weight profiles, and Material Handling Equipment (MHE) data provided by the Client. NexRack is not responsible for cost adjustments, delays, or re-engineering fees resulting from inaccurate or incomplete information supplied by the Client.
2. ORDERS, PAYMENTS & CANCELLATION
- Order Acceptance: A binding contract is established only upon NexRack’s formal written order confirmation or upon execution of a mutually agreed Purchase Order (PO).
- Payment Terms: Standard payment terms require a deposit prior to production or order dispatch from inventory, with the remaining balance due according to the payment schedule specified in your sales contract or invoice.
- Custom Orders & Cancellation: Orders involving custom-fabricated racking, specialized steel gauges, non-standard dimensions, or factory-direct production runs cannot be cancelled or modified once steel fabrication has commenced. Deposits on custom-manufactured items are non-refundable.
3. SHIPPING, DELIVERY & TITLE TRANSFER
- Freight & Offloading: Unless otherwise specified in writing, all product deliveries are shipped FOB Origin or Ex-Works (EXW). Freight charges, customs duties, and import tariffs (if applicable) are the responsibility of the Customer.
- Site Delivery Conditions: The Customer is responsible for ensuring that the job site is fully accessible by commercial freight trucks. The Customer is responsible for offloading materials upon delivery unless turnkey offloading/rigging services were explicitly purchased in the contract.
- Freight Inspection: The Customer must inspect all shipments immediately upon arrival. Any freight damage, shortages, or missing components must be noted directly on the Bill of Lading (BOL) at the time of delivery and reported to NexRack within 48 hours.
4. ENGINEERING, PERMITS & LOCAL BUILDING CODES
- Building Permits: While NexRack provides professional layout designs, structural calculations, and PE-stamped drawing packages for municipal permit submittals, final building permit approval is governed by local building departments and fire marshals.
- Concrete Slab Integrity: The Customer is solely responsible for verifying that the warehouse concrete floor slab meets the minimum thickness, PSI compressive strength, and structural rebar specifications required by the engineering calculation package prior to installation. NexRack is not liable for floor slab failures or sub-surface geological issues.
5. ON-SITE INSTALLATION CONDITIONS
If on-site racking installation services are contracted with NexRack, the Customer agrees to fulfill the following site readiness requirements:
- Site Readiness: The work area must be 100% clean, clear of debris, well-lit, fully unencumbered by other trades, and maintained at a safe working temperature.
- Power & Utilities: The Customer shall provide reliable 110V/220V electric power and job-site staging space for assembly equipment and scissor lifts at no cost to NexRack.
- Delays & Standby Fees: Job-site delays caused by site unreadiness, restricted facility access, power outages, or interference from other non-NexRack contractors may result in additional labor standby charges billed at our standard hourly rates.
